, 23.08.2013 In the above captioned two petitions, quashing of complaint
(Annexure P-2) under Sections 162/220 of The Companies Act, 1956 is sought. With the consent of learned counsel for parties, both these petitions were taken up for hearing together and are being disposed of by this common order.

Learned counsel for petitioners' submits that the application seeking compounding of offence in question will be moved before the trial court on 30"" August, 2013. If it is so done, then, petitioners' personal appearance be not insisted upon if petitioners are duly represented by counsel andthey do not seekadjournments.
These two petitions are disposed of with liberty to petitioners to seekcompounding of offence in question before the trial court.
