JUDGMENT

1. Counsel for the plaintiff states that during the pendency of the present proceedings, the parties have arrived at a compromise in terms of a Settlement Agreement dated 22.5.2015, that was placed on record in Company Appeal No.93/2012, whereunder the defendant has agreed to pay a sum of Rs.1.45 crores to the plaintiff in full and final settlement of all its claim.

2. Counsel for the defendant states that a sum of Rs.75.00 lacs has already been paid to the plaintiff, which fact has been recorded in the order dated 28.5.2015, passed by the Division Bench in the captioned appeal.

3. Counsels for the parties undertake that they shall abide by the terms and conditions of the Settlement Agreement dated 22.5.2015 and the suit be disposed of in terms thereof. 2015:DHC:7343 CS(OS) 1531/2006

4. In view of the aforesaid submissions, the present suit is disposed of, along with the pending applications, while leaving the parties to bear their own costs.
